Terms of Service

These Terms of Service ("Terms") govern your access to and use of Formz, a form-building platform with wallet verification, social identity verification, and related features (the "Service"), operated by Formz LLC ("Formz," "we," "us," or "our"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information when creating an account and to notify us promptly of any unauthorized use.

3. The Service

Formz lets you build and publish forms, surveys, and waitlists, optionally gated or enriched by wallet signature verification (across multiple blockchain networks) and social OAuth identity verification (e.g. Twitter/X, Discord, Google, Telegram, LinkedIn). Formz is not a custodial wallet service, does not hold or transmit cryptocurrency on your behalf, and has no control over any blockchain network, wallet provider, or third-party identity provider. We are not responsible for the availability, accuracy, or security of any third-party blockchain network, RPC provider, wallet, or OAuth provider that interacts with the Service.

4. Subscription Plans & Payment

Formz offers a free plan and paid subscription plans (currently Pro and Business) with additional features and usage limits. Paid plans are billed in advance on a monthly or annual basis through our payment processor, Stripe, and renew automatically until cancelled. We may change our pricing or plan features at any time; we will provide reasonable notice of material changes affecting active subscribers. See our Refund & Cancellation Policy for billing details.

5. Your Content

You retain ownership of the forms you create and the responses you collect ("Your Content"). You grant Formz a limited, non-exclusive license to host, store, process, and display Your Content solely to provide and improve the Service. You are solely responsible for Your Content, including ensuring you have the right to collect any personal data you request through your forms and that your forms comply with applicable law.

6. Acceptable Use

You agree to use the Service in accordance with our Acceptable Use Policy, which is incorporated into these Terms by reference. We may suspend or terminate access to the Service for any violation.

7. Intellectual Property

The Service, including its software, design, and branding, is owned by Formz and protected by intellectual property laws. These Terms do not grant you any rights to Formz's trademarks, logos, or branding except as necessary to use the Service as intended.

8. Termination

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access to the Service if you violate these Terms or the Acceptable Use Policy, or if required by law.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY BLOCKCHAIN, WALLET, OR THIRD-PARTY IDENTITY VERIFICATION WILL BE ACCURATE OR AVAILABLE AT ANY GIVEN TIME.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORMZ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold Formz harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, Your Content, or your violation of these Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
